1. Purpose
NUE Power Corp (the "Company") encourages the reporting of concerns about financial misconduct, unethical behaviour, or violations of law, regulation, or Company policy. This Whistleblower Policy establishes a confidential mechanism for reporting such concerns and protects reporters from retaliation.
2. Scope
This Policy applies to all directors, officers, employees, and contractors of the Company and its subsidiaries.
3. What to Report
Concerns that should be reported under this Policy include, but are not limited to:
- Fraudulent or intentionally misleading financial reporting
- Theft or misappropriation of Company assets
- Violations of applicable securities laws or stock exchange rules
- Violations of the Company's Code of Business Conduct and Ethics
- Improper accounting, auditing, or internal control practices
- Corruption, bribery, or improper payments
- Significant health, safety, or environmental violations
4. How to Report
Concerns may be reported by any of the following means:
- Directly to the Chair of the Audit Committee by email at: info@nu-energy.ca
- In writing addressed to the Audit Committee Chair, NUE Power Corp., Suite 240, 1209 – 59th Avenue SE, Calgary, Alberta T2H 2P6, Canada
Reports may be made anonymously. However, providing contact information enables the Company to follow up if additional information is needed.
5. Confidentiality
The Company will use reasonable efforts to protect the confidentiality of any report and the identity of the reporter, to the extent permitted by law and consistent with conducting a proper investigation.
6. Non-Retaliation
The Company strictly prohibits retaliation against any person who, in good faith, reports a concern under this Policy or cooperates in an investigation. Any person found to have retaliated against a reporter will be subject to disciplinary action, up to and including termination.
7. Investigation
The Audit Committee is responsible for receiving and overseeing the investigation of all reports submitted under this Policy. The Audit Committee may engage independent legal counsel or other advisors to assist with investigations.
8. Bad Faith Reports
This Policy is not intended to protect persons who make reports that are knowingly false or malicious.
